1. About These Terms
These Terms of Use (“Terms”) govern your access to and use of the Quoin Systems software platform, website, applications, analytical tools, reports and related services (collectively, the “Services”).
The Services are provided by Quoin Systems Limited (“Quoin”, “we”, “us” or “our”).

Quoin Systems provides intelligent property data analytics, property-market analysis, forecasts, financial metrics and reports through its software applications.
By creating an account, accessing the Services, purchasing a subscription or otherwise using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Services.
These Terms should be read together with Quoin’s Data Protection Policy, which explains how Quoin processes personal data.
2. Definitions and Interpretation
In these Terms:
“Account” means the account created by you to access the Services.
“Free Plan” means Quoin’s free subscription tier, currently available at £0 per month and subject to the limitations described in these Terms.
“Investor Plan” means Quoin’s paid subscription plan, currently priced at £15 per month.
“Professional Plan” means Quoin’s professional subscription offering for professional users such as mortgage brokers, buying agents, financial advisers and estate agents, with pricing agreed separately with Quoin.
“Property Data” means information relating to a property that you provide to or enter into the Services.
“Report” means a property report, portfolio report, presentation or other report generated through the Services for you.
“Third-Party Data” means information obtained from third-party providers or publicly available sources.
“you” and “your” mean the individual or organisation using or subscribing to the Services.
3. Eligibility
You may use the Services only if:
you are at least 18 years old;
you have legal capacity to enter into a binding agreement; and
the information you provide to Quoin is accurate and complete.
If you are entering into these Terms on behalf of a company, partnership or other organisation, you confirm that you have authority to bind that organisation.
Quoin may refuse or restrict registration where reasonably necessary to protect the Services, Quoin, other users or the security and integrity of the platform.
4. The Services
Quoin provides property-market data analytics and related analytical services.
Depending on the subscription plan, the Services may include:
current property value estimates;
ten-year projected property values;
gross rental yield;
net rental yield;
property and financial KPIs;
portfolio analysis;
comparative property performance;
projected portfolio values;
rental-market benchmarking;
regional market benchmarking;
methodology notes;
confidence indicators;
property reports;
client-facing presentations; and
other features introduced by Quoin from time to time.
The availability of particular features depends on the applicable subscription plan.
Quoin may modify, improve, replace or discontinue features from time to time, subject to applicable law and any rights you may have in relation to paid Services.
5. IMPORTANT — QUOIN DOES NOT PROVIDE FINANCIAL OR INVESTMENT ADVICE
5.1 Information and analytical tool only
Quoin is an information and analytical platform. Quoin does not provide financial, investment, mortgage, tax, legal or regulated property advice through the Services.
The Services provide data, estimates, calculations, models, projections, forecasts, benchmarks and analytical outputs.
These outputs do not constitute:
financial advice;
investment advice;
investment recommendations;
mortgage advice;
tax advice;
legal advice;
regulated financial guidance;
a recommendation to buy, sell, hold, mortgage, refinance, let or otherwise transact in a property;
a recommendation that a particular investment is suitable for you; or
a guarantee of any financial or investment outcome.
5.2 No recommendation from Quoin
Quoin does not recommend that you purchase, sell, hold, finance, refinance, let or otherwise transact in any particular property.
A valuation, projection, forecast, yield calculation, KPI, benchmark, confidence indicator, Report or other output must not be interpreted as a recommendation from Quoin.
5.3 Your responsibility for decisions
You are solely responsible for your financial, investment, property, financing, taxation, legal and commercial decisions.
You must make your own assessment of whether a property or transaction is appropriate for you.
You should obtain independent professional advice before making significant financial, investment or property decisions where appropriate.
The Services must not be used as a substitute for professional advice.
5.4 Professional users
If you are a mortgage broker, buying agent, financial adviser, estate agent or other professional user, you remain responsible for the advice and recommendations you provide to your own clients.
You must not represent that:
Quoin has provided financial or investment advice to your client;
Quoin has recommended a particular transaction;
a Quoin projection is a guaranteed outcome;
a Quoin Report constitutes regulated advice from Quoin; or
Quoin has assessed the suitability of a property or transaction for your client.
Where you use Quoin information as part of your own professional advice or recommendation, that advice and recommendation remains your responsibility.
6. Forecasts, Projections and Estimates
The Services may provide current values, estimated values, projected values, yields, KPIs, forecasts, market indicators and other forward-looking information.
These outputs are inherently uncertain and are based on models, assumptions and available information.
A projection is an estimate, not a promise or guarantee of future performance.
Actual property values, rental income, yields and other financial outcomes may differ materially from Quoin’s projections.
Factors affecting actual outcomes may include:
changes in economic conditions;
interest rates;
inflation;
taxation;
legislation and regulation;
local property-market conditions;
supply and demand;
rental-market conditions;
property-specific circumstances;
changes in transaction activity;
changes in third-party data; and
other circumstances outside Quoin’s control.
No Quoin projection should be interpreted as a statement that a particular future outcome will occur.
7. Reports Are Time-Specific Snapshots
A Report represents the analysis generated using the information, data, assumptions, methodology and model inputs available at the time the Report was generated.
Quoin makes reasonable efforts to maintain and update the information used by the Services consistently and reliably.
However, a Report is a snapshot of the analysis at the time of generation and is not intended to remain permanently or indefinitely accurate.
A Report may become outdated as a result of changes to:
market conditions;
Property Data;
Third-Party Data;
assumptions;
methodology;
model inputs;
rental conditions; or
other relevant circumstances.
A Report that was accurate or appropriate to the information available when generated does not necessarily remain accurate at a later date.
Where the timing or importance of a decision makes current information relevant, you should obtain a new analysis.
8. Data Sources and Accuracy
Quoin uses a combination of:
licensed third-party data sources;
publicly available information;
market indicators;
Property Data supplied by users; and
other information used in developing and operating the Services.
The accuracy, completeness, reliability, timeliness and availability of information may vary depending on its source.
Quoin does not guarantee that Third-Party Data or publicly available information is accurate, complete, current or error-free.
Quoin will use reasonable efforts to check information where reasonably possible.
However, you remain responsible for the accuracy and completeness of Property Data that you provide.
Where information provided by you is inaccurate, incomplete or outdated, the resulting analysis may also be inaccurate, incomplete or outdated.
9. Subscription Plans
9.1 Free Plan
The Free Plan is available at £0 per month.
No payment card is required for the Free Plan.
The Free Plan permits analysis of one property.
The Free Plan may provide the following analysis for that property:
current value;
ten-year projected value;
gross rental yield;
net rental yield;
key financial KPIs; and
methodology notes.
The Free Plan is a continuing free tier and is not a time-limited trial.
Portfolio functionality becomes available only where the applicable paid subscription permits the user to have two or more properties.
9.2 Investor Plan
The Investor Plan is currently priced at £15 per month.
The Investor Plan includes the Free Plan functionality together with:
unlimited properties;
portfolio views;
blended portfolio KPIs and yield;
comparative property performance;
projected portfolio value across one to ten years;
rental-market benchmarking by area;
methodology notes; and
confidence indicators.
The Investor Plan renews automatically each month unless cancelled, subject to applicable law.
9.3 Professional Plan
The Professional Plan is intended for professional users including:
mortgage brokers;
buying agents;
financial advisers;
estate agents; and
other professional property users approved by Quoin.
Professional functionality may include:
Investor Plan functionality;
shareable professionally formatted property Reports;
client-facing portfolio presentations; and
regional market benchmarking.
Professional pricing is agreed separately with Quoin and may be documented in a written agreement, order form, proposal or other commercial document.
Where a separate written Professional agreement exists, that agreement applies alongside these Terms. If there is a conflict, the specific written Professional agreement will prevail to the extent of that conflict.
Professional accounts remain single-user accounts unless Quoin expressly agrees otherwise in writing.
10. Accounts and Account Security
Your Account is personal to you.
You must not:
share your login credentials;
permit another person to use your Account;
sell, transfer or sublicense your Account;
allow another person to access the Services through your Account; or
create multiple Accounts to circumvent subscription restrictions.
You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your Account.
You must notify Quoin promptly if you believe that your Account has been accessed without your authorisation.
Quoin may take reasonable steps to secure Accounts and may require authentication, verification or password changes.
11. Professional and Business Accounts
A Professional subscription may be purchased:
by an individual acting personally; or
by a company or professional firm for an authorised individual.
Where a company or firm purchases a Professional subscription, that organisation is responsible for ensuring that its authorised user complies with these Terms.
Each Professional subscription is for a single authorised user unless otherwise agreed in writing by Quoin.
A Professional subscription does not automatically provide access to other employees, contractors, clients or representatives.
12. Acceptable Use
You must use the Services lawfully and only for their intended purposes.
You must not:
use the Services for an unlawful, fraudulent, deceptive or malicious purpose;
attempt to gain unauthorised access to the Services, Quoin systems or another user’s Account;
interfere with or disrupt the operation, security or integrity of the Services;
introduce viruses, malware, malicious code or other harmful material;
scrape, crawl, harvest or systematically extract information from the Services without Quoin’s written permission;
use bots, automated scripts or other automated methods to access the Services except where expressly authorised;
reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, algorithms, models or underlying methodology of the Services, except where such restriction is prohibited by law;
circumvent or attempt to circumvent subscription, property, usage or technical restrictions;
reproduce, replicate or recreate Quoin’s models, algorithms, methodology or analytical framework;
use Quoin’s Reports, outputs, data or methodology to develop, train, operate or assist a competing property analytics, valuation, forecasting or investment-analysis product or service;
resell, sublicense, rent, lease or commercially exploit access to the Services except as expressly permitted by Quoin;
knowingly provide materially false or misleading information for the purpose of manipulating an analytical output;
misrepresent Quoin’s outputs as financial, investment, mortgage, tax, legal or other professional advice provided by Quoin;
represent that Quoin has recommended a particular investment, property or transaction;
remove or obscure Quoin’s disclaimers, attribution or other notices;
use the Services to infringe another person’s intellectual property, privacy or other rights; or
use the Services in a way that could materially compromise Quoin’s security, reputation or legitimate business interests.
13. Client and Third-Party Information
You may provide information relating to clients, property owners, tenants or other third parties only where you have the appropriate authority and lawful basis to provide and use that information through the Services.
You are responsible for ensuring that your collection, use, disclosure and submission of third-party information complies with applicable data protection and privacy laws.
You must not provide personal information to Quoin where you do not have the lawful right or authority to do so.
Where you use the Services on behalf of another person or organisation, you are responsible for ensuring that your use of the Services is authorised.
14. Professional Reports and Client Use
Professional users may:
share Quoin-generated Reports with clients;
include Quoin Reports or analysis in client-facing documents; and
use Quoin analysis as an input into their own professional discussions, recommendations or advice.
However, Professional users must not:
edit or modify a Quoin-generated Report before providing it to a client;
add their own branding or logo to a Quoin-generated Report;
remove Quoin branding or attribution;
remove or obscure applicable Quoin disclaimers;
represent that the Report was generated by the Professional user; or
represent that Quoin has provided financial or investment advice.
Where Quoin analysis is incorporated into another document, the Professional user remains responsible for the content, conclusions, recommendations and advice contained in that document.
15. Intellectual Property
15.1 Quoin intellectual property
Quoin owns or has the right to use all intellectual property rights in and relating to the Services, including:
software;
source code;
object code;
algorithms;
models;
methodologies;
analytical frameworks;
databases;
data structures;
platform architecture;
interfaces;
templates;
designs;
trademarks;
branding;
documentation; and
underlying technology.
Nothing in these Terms transfers ownership of Quoin’s intellectual property to you.
15.2 Your Property Data
You retain ownership of Property Data and other information that you provide to Quoin, subject to the rights Quoin requires to operate and provide the Services.
15.3 Generated Reports
You own the specific Report generated for your property or properties.
However, your ownership of a Report does not transfer ownership of:
Quoin’s methodology;
algorithms;
models;
calculations;
analytical frameworks;
templates;
software;
databases;
underlying data;
platform technology; or
other Quoin intellectual property.
You must not use ownership of a Report as a basis for reproducing, reverse engineering or commercially exploiting Quoin’s underlying technology or methodology.
15.4 Licence to Quoin
You grant Quoin a non-exclusive, worldwide, royalty-free licence to host, process, reproduce, transmit and otherwise use information you provide to the extent reasonably necessary to:
provide the Services;
maintain the Services;
secure the Services;
troubleshoot and improve the Services;
prevent fraud and misuse; and
comply with applicable law.
Personal data will be processed in accordance with Quoin’s applicable Data Protection Policy.
16. Payments and Stripe
Paid subscriptions are processed through Stripe or another payment processor selected by Quoin.
Quoin does not store full payment card numbers or CVV codes on its own servers.
You authorise Quoin and its payment processor to charge applicable subscription fees to your selected payment method.
You are responsible for ensuring that your payment details remain accurate and valid.
Stripe’s processing of payment information is also subject to Stripe’s applicable terms and privacy documentation.
17. Automatic Renewal
Unless otherwise agreed:
Investor subscriptions renew automatically each month;
the applicable subscription fee is charged at each renewal;
the subscription continues until cancelled; and
cancellation prevents future renewal but does not ordinarily provide a refund for the unused portion of the current billing period.
Quoin will provide any notices, information and cancellation mechanisms required by applicable consumer law.
Nothing in these Terms limits any statutory cancellation, cooling-off, refund or other consumer right that cannot lawfully be excluded.
18. Cancellation
You may cancel your paid subscription at any time.
Subject to applicable law, cancellation will ordinarily take effect at the end of the current paid billing period.
You will retain access to paid features until the end of that billing period unless:
your Account is suspended or terminated under these Terms;
you have failed to make required payments; or
applicable law requires otherwise.
After the paid billing period ends, the Account will be downgraded to the Free Plan.
19. Downgrade and Property Retention
When an Investor subscription is cancelled or otherwise ends and the Account moves to the Free Plan:
you may retain one property of your choice;
Quoin will provide an opportunity for you to select the property you wish to retain;
all other properties exceeding the Free Plan allowance will be deleted when the downgrade takes effect;
deleted properties and their associated analysis cannot be retrieved or restored by Quoin; and
if you subsequently upgrade to a paid plan, deleted properties must be added or created again.
You are responsible for selecting the property you wish to retain before the downgrade takes effect.
20. Failed Payments
If an Investor subscription payment fails, Quoin may restrict paid functionality and initiate a payment-resolution process.
Quoin may display a payment or subscription-resolution form through which you can:
retry the failed payment;
update or correct payment information;
continue the subscription if payment is successfully completed; or
proceed with the downgrade process.
Where payment is successfully completed, the subscription may continue in accordance with the applicable plan.
Where payment remains unresolved and the subscription is downgraded, the Free Plan and property-retention provisions of these Terms will apply.
21. Refunds
Quoin considers refund requests on a case-by-case basis.
Quoin may consider a refund where circumstances include:
an erroneous or duplicate charge;
an unauthorised transaction;
a material service issue;
another exceptional circumstance; or
circumstances where a refund or other remedy is required by law.
A refund is not automatically available merely because:
you have not used the Services;
you have not used all available features;
you cancel part-way through a billing period;
you disagree with an analytical output; or
a projection does not subsequently match actual market performance.
Where Quoin approves a refund, it will normally be made to the original payment method.
Nothing in this section excludes or limits any refund, cancellation or other remedy that Quoin is legally required to provide.
22. Pricing and Changes
Quoin may change subscription prices, plans, features or functionality.
Where applicable law requires advance notice of a price change, Quoin will provide the required notice.
For existing paid subscribers, a price increase will take effect no earlier than the date communicated by Quoin and subject to any rights available to the subscriber under applicable law.
Professional pricing is governed by the applicable written commercial agreement.
23. Service Availability
Quoin aims to provide a reliable and useful Service.
However, Quoin does not guarantee uninterrupted or error-free availability and does not provide a contractual uptime guarantee unless expressly agreed in writing.
The Services may occasionally be unavailable or disrupted because of:
maintenance;
upgrades;
security measures;
technical failures;
third-party services;
internet or telecommunications failures;
circumstances beyond Quoin’s reasonable control; or
other operational requirements.
Nothing in this section excludes or limits any statutory right that cannot lawfully be excluded.
24. Third-Party Services and Data
The Services may depend on third-party services, platforms, infrastructure and datasets.
These may include payment processors, hosting providers, data providers and other technology providers.
Quoin does not guarantee the continued availability, accuracy, completeness or operation of third-party services or Third-Party Data.
Where the Services rely on Third-Party Data, inaccuracies, omissions, delays or changes in that data may affect the outputs generated by the Services.
25. Privacy and Data Protection
Quoin processes personal data in accordance with its applicable Data Protection Policy.
The Data Protection Policy explains how Quoin handles personal data, including:
the categories of personal data processed;
purposes of processing;
lawful bases;
data-subject rights;
security;
retention;
data sharing;
international transfers; and
subscription payment processing.
The Data Protection Policy identifies Quoin’s approach to the UK GDPR and Data Protection Act 2018.
Quoin’s role in relation to personal data may differ depending on the processing activity and the relationship between Quoin, the user and any third party.
Where Quoin acts as a processor on behalf of a customer, the parties will enter into appropriate contractual arrangements where required by applicable data protection law.
26. Security
You must take reasonable steps to protect your Account and any information accessed through it.
You must not attempt to bypass, disable or interfere with security measures implemented by Quoin.
If you become aware of unauthorised access, a security vulnerability or another security incident affecting your Account, you should notify Quoin promptly.
Quoin maintains appropriate technical and organisational measures having regard to the nature and risks of the Services and personal data processed.
27. Suspension and Termination
Quoin may suspend or terminate your access to the Services where reasonably necessary, including where:
you materially or repeatedly breach these Terms;
you engage in fraudulent or unlawful activity;
you fail to pay amounts due;
your use creates a security risk;
you attempt to circumvent subscription restrictions;
you scrape or systematically extract Quoin data;
you reverse engineer or attempt to reproduce Quoin’s technology;
you use Quoin’s Services to develop a competing product;
you misrepresent Quoin’s outputs as financial or investment advice;
your conduct materially harms Quoin, the Services or another user; or
suspension is necessary to comply with law.
Where a breach is capable of remedy, Quoin will ordinarily provide a reasonable opportunity to remedy the breach before termination.
Quoin may suspend access immediately where reasonably necessary to protect the Services, users, data or security, or where circumstances involve fraud, unlawful conduct or a significant security risk.
28. Effect of Termination
Upon termination or expiry:
your right to use the Services will end, subject to any rights that survive termination;
unpaid amounts that have become due remain payable;
intellectual property provisions remain in effect;
restrictions concerning misuse, reverse engineering and competitive use remain in effect;
provisions relating to liability remain in effect; and
any other provisions intended by their nature to survive termination will continue.
Where an Account is terminated by Quoin for serious misuse or breach, Quoin may determine whether the Free Plan downgrade and property-retention process is appropriate in the circumstances, subject to applicable law.
29. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as available” basis.
Quoin does not warrant or guarantee that:
every valuation or estimate is accurate;
every projection will occur;
every Report will remain accurate indefinitely;
every Third-Party Data source is accurate or complete;
the Services will be uninterrupted or error-free;
the Services will meet every user’s particular requirements; or
use of the Services will produce a particular financial, investment, rental or property outcome.
The Services are analytical tools and are not a substitute for independent professional judgement or professional advice.
30. Limitation of Liability
30.1 Liability that cannot be excluded
Nothing in these Terms excludes or limits liability to the extent that doing so would be unlawful.
This includes, where applicable:
liability for death or personal injury caused by negligence;
liability for fraud or fraudulent misrepresentation;
statutory consumer rights and remedies that cannot lawfully be excluded or restricted; and
any other liability that applicable law prohibits Quoin from excluding or limiting.
30.2 Investment and decision-making losses
Subject to clause 30.1 and to the maximum extent permitted by law, Quoin will not be responsible for losses arising from a user’s financial, investment, property, financing, mortgage, taxation, rental, acquisition, disposal or other decision made in reliance upon:
a valuation;
estimate;
forecast;
projection;
yield calculation;
financial KPI;
benchmark;
market analysis;
confidence indicator;
Report; or
other output produced by the Services.
30.3 Indirect and consequential losses
Subject to clause 30.1 and to the maximum extent permitted by law, Quoin will not be liable for indirect or consequential losses or losses of:
profits;
revenue;
business;
anticipated savings;
goodwill;
opportunity; or
business reputation.
30.4 Liability cap
Subject to clause 30.1, Quoin’s aggregate liability arising out of or in connection with these Terms will not exceed the total amount paid by the relevant user to Quoin for the Services during the 12 months immediately preceding the event giving rise to the claim.
Where you are a consumer, this limitation applies only to the extent permitted by applicable consumer protection law.
31. User Indemnity
To the maximum extent permitted by law, if you use the Services in breach of these Terms and that breach causes a third-party claim, loss or liability against Quoin, you agree to reimburse Quoin for reasonable losses, costs and expenses arising from that claim.
This clause does not require a consumer to indemnify Quoin for matters for which such an indemnity cannot lawfully be imposed.
32. Changes to These Terms
Quoin may update these Terms from time to time.
Where a change is material, Quoin will provide reasonable notice where required by law.
The latest version of these Terms will be made available through the Services or Quoin’s website.
Where applicable law gives you a right to reject a change, cancel a subscription or obtain another remedy, that right will continue to apply.
33. Complaints
If you have a complaint concerning:
the Services;
your Account;
billing;
a subscription; or
another aspect of your relationship with Quoin,
please contact Quoin using the contact details below.
Quoin will consider complaints reasonably and seek to resolve them where possible.
Nothing in this section prevents a consumer from exercising any statutory right or remedy.
34. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of Scotland.
The courts of Scotland will have jurisdiction over disputes arising in connection with these Terms, subject to any mandatory rights that a consumer may have to bring proceedings in another jurisdiction or to rely upon mandatory consumer protections.
35. General
35.1 Entire agreement
These Terms, together with any applicable written Professional agreement, order form and Quoin’s applicable Data Protection Policy, constitute the agreement between you and Quoin concerning your use of the Services.
35.2 Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary, and the remaining provisions will continue to apply.
35.3 No waiver
If Quoin does not immediately enforce a right under these Terms, this does not mean that Quoin has waived that right.
35.4 Assignment
You may not transfer or assign your rights or obligations under these Terms without Quoin’s prior written consent.
Quoin may assign or transfer its rights and obligations where reasonably required as part of a corporate reorganisation, merger, acquisition, sale of assets or similar transaction, subject to applicable law.
35.5 Third-party rights
Unless expressly stated otherwise, no person who is not a party to these Terms has any right to enforce any provision of these Terms.
